Cloud WP Terms of Use

These Terms of Use govern your access to cloud-wp, the multi-tenant Kubernetes operator from Usability Dynamics, Inc. (UDX) that runs your WordPress properties straight from git on Azure Kubernetes Service (AKS). Offered as an Azure Kubernetes Application through the Microsoft Azure Marketplace, cloud-wp is built for organizations that operate many WordPress sites and want them managed like the rest of their platform.

Cloud WP declares each site as a small WordPressSite custom resource and reconciles it into stateless, autoscaling pods that clone your code from git at boot. Branch preview environments, per-site databases and object cache, external WP-cron, generated credentials, and an in-cluster dashboard are included, so your team can run WordPress at scale without a separate snowflake stack outside Kubernetes.

1. Acceptance and Legal Framework

When you deploy cloud-wp through the Microsoft Azure Marketplace, you're entering into a professional service agreement that reflects both our commitment to enterprise-grade reliability and the legal protections necessary for production platform operations. This agreement builds upon our established UDX Terms of Service while addressing the specific requirements of running WordPress workloads from git inside your own AKS cluster.

Before proceeding with deployment, we encourage enterprise customers to review these terms with their legal and technical teams. Our enterprise solutions specialists are available to address any questions about compliance requirements or integration with your existing governance frameworks.

2. Product Architecture and Technical Operation

Operator-Based Deployment in Your Cluster

Cloud WP installs a Kubernetes operator into the AKS cluster you already operate, within your own Azure subscription. Every WordPress property is declared as a WordPressSite custom resource pointing at a git repository and branch; the operator reconciles that declaration into running web pods that clone the repository at boot. When the branch moves, the operator rolls the site to the new commit — immediately via a GitHub webhook, or through polling as the fallback. This approach ensures complete data sovereignty while leveraging the scalability and reliability that has made Azure Kubernetes Service the foundation for thousands of enterprise applications worldwide.

Web pods are stateless by design: code comes from git, configuration from the environment, and media is offloaded to object storage. Horizontal autoscaling, rolling deploys, and pod disruption budgets are managed for you, so node failures and traffic spikes stop being scary.

Branch Preview Environments

Push a branch and the operator spins up a full preview site with its own database schema — one branch, one environment. Delete the branch and the preview is swept away. Preview environments are intended for evaluation and staging workflows and inherit the same stateless architecture as production sites.

Data Services and Credentials

Each site receives its own MySQL database for evaluation purposes, or you may bring a managed Azure Database for MySQL for production workloads. A per-site memcached object cache, external WP-cron execution, and generated credentials and salts are included. All site data remains within your Azure subscription boundaries, addressing data sovereignty requirements while enabling the operational consistency that enterprise platform teams demand. 3. Microsoft Partnership and Marketplace Compliance

Cloud WP is offered through the Microsoft Azure Marketplace as an Azure Kubernetes Application, demonstrating compliance with enterprise security standards and Microsoft's publisher agreement requirements. This certification represents our commitment to maintaining the highest standards of quality and security that enterprise customers expect from Azure Marketplace solutions.

By deploying our solution through the Azure Marketplace, you benefit from Microsoft's established billing infrastructure and support ecosystem. Microsoft may share relevant contact information and transaction details with UDX to ensure seamless support delivery, while billing is processed transparently through your existing Azure subscription management processes.

Our marketplace presence also ensures compliance with current PCI Data Security Standards and maintains adherence to Microsoft's evolving security requirements, providing the assurance that enterprise compliance officers require when evaluating third-party solutions.

4. Transparent Enterprise Pricing and Billing

Pricing for cloud-wp is clearly displayed within the Azure Marketplace, providing the transparency that enterprise procurement teams require for budgeting and cost management. Cloud WP is billed on a usage-based model metered per vCPU core-hour of running site workload through Azure's metering infrastructure, so you pay in proportion to what you actually run rather than per site or per visitor. All billing is processed through your existing Azure subscription, ensuring seamless integration with your established financial management processes and eliminating the complexity of managing separate vendor relationships.

In addition to our software usage fees, your organization will incur standard Azure infrastructure costs for compute, storage, networking, and any managed database resources, which are billed separately by Microsoft according to your existing Azure pricing agreements. This transparent approach ensures that all costs are clearly attributable and manageable within your existing cloud cost management frameworks.

Metered usage is aggregated and billed monthly in arrears through Azure's established billing systems, with product availability maintained according to your subscription status. Marketplace availability at launch is limited to the United States. Our enterprise support team is available to assist with questions about pricing or subscription management through your dedicated account management resources.

5. Data Protection Excellence and Privacy Leadership

Cloud WP runs entirely within your AKS cluster and your Azure subscription. Your WordPress code, content, and databases never leave your tenant: the operator reconciles sites from your git repositories, and site data is stored in per-site databases that you control, whether the included evaluation MySQL or your own Azure Database for MySQL. UDX does not host, store, or have standing access to your site content.

As a data processor operating within Microsoft's Azure ecosystem, UDX maintains strict compliance with international data protection regulations, including GDPR requirements and Microsoft Privacy Statement obligations. Our data processing practices are designed to support your role as data controller while implementing industry-standard security practices that enterprise customers expect. Usage metering records the compute consumption required for Azure Marketplace billing and does not include your site content or visitor data.

Security measures include generated per-site credentials and salts, external WP-cron isolation, and encrypted communication protocols that meet the security standards required for enterprise operations. Our commitment to security excellence includes regular monitoring and incident response procedures that align with enterprise security practices.

6. Service Excellence and Performance Commitment

Cloud WP is engineered for high availability within Azure's proven infrastructure framework. Because web pods are stateless and disposable, autoscaling, rolling deploys, and node failures are handled as routine platform events rather than emergencies. GitHub webhook-driven deploys typically reconcile within moments of a push, with polling providing a dependable fallback cadence.

The in-cluster dashboard gives your web team live status across every site — source repository, branch, pod health, and database state — without requiring kubectl access. Technical support is available through Azure Marketplace's established support channels, complemented by our comprehensive documentation and troubleshooting resources.

7. Partnership and Shared Responsibilities

Successful deployment and operation of cloud-wp requires collaborative engagement between your technical teams and our platform capabilities. Your organization maintains responsibility for Azure subscription management and service quotas, ensuring adequate cluster capacity for your site portfolio according to your business requirements, and configuring appropriate Azure RBAC permissions that align with your security policies.

Access management responsibilities include securing access to the in-cluster dashboard, managing your GitHub repositories and the GitHub App or webhook credentials that connect them, and maintaining network security configurations that support your organizational security standards. You are responsible for the content of the WordPress sites you deploy, including the repositories those sites are built from.

Data management best practices include defining backup and retention requirements that align with your business continuity planning, testing restore procedures as part of comprehensive disaster recovery strategies, and ensuring compliance with organizational data governance policies. 8. Technical Capabilities and Operating Parameters

Cloud WP operates within the capabilities and constraints of Microsoft's Azure platform and requires an AKS cluster that you provide. Each site requires a GitHub repository — public or private — though a fresh vanilla installation is also supported for evaluation purposes. Marketplace availability at launch is limited to the United States, and deployment is subject to Azure resource quotas and regional availability of both Azure Marketplace and Azure Kubernetes Service capabilities.

The included per-site MySQL database is intended for evaluation and light workloads; production properties should bring Azure Database for MySQL or an equivalent managed database. Performance characteristics depend on your cluster size, node pool configuration, and the performance capabilities of your chosen Azure region.

Cloud WP is designed specifically for running WordPress workloads from git and should not be used to operate unrelated application types or unauthorized workloads. The product requires stable connectivity between your cluster and your git hosting for reliable operation.

9. Intellectual Property and Innovation Rights

UDX retains comprehensive intellectual property rights in cloud-wp, including all software components, documentation, algorithms, and innovation elements that comprise the operator platform. This license grants your organization specific usage rights as defined within these terms, while preserving our ability to continue developing and enhancing the solution for the broader enterprise market.

Your organization retains complete ownership of all WordPress content, site code, repositories, configurations, and business data processed by our solution. UDX claims no ownership rights to your site content, your git repositories, or any intellectual property that belongs to your organization, ensuring clear separation between our platform capabilities and your valuable business assets.

Feedback and improvement suggestions provided by your teams regarding our solution may be incorporated into future product enhancements without compensation requirements, enabling us to deliver continuous innovation that benefits our entire enterprise customer base.

10. Product Warranties and Realistic Expectations

Cloud WP is provided with the realistic warranty framework appropriate for enterprise platform software operating within cloud infrastructure environments. While we maintain rigorous quality standards and comprehensive testing procedures, enterprise customers should understand that Kubernetes-based solutions operate within the constraints and dependencies of underlying platform services.

UDX cannot provide warranties regarding Azure platform availability, performance characteristics of Azure Kubernetes Service, Azure Database for MySQL reliability and accessibility, GitHub service availability, or Microsoft's metering and billing services. These platform dependencies are managed by their respective providers according to their service level agreements and operational standards.

While our solution is architected to support business continuity planning, enterprise customers should implement comprehensive testing procedures to validate deploy, preview, and restore workflows within their specific technical environments, and organizations should incorporate appropriate validation testing into their disaster recovery planning processes.

11. Risk Management and Liability Framework

Our liability framework is designed to provide realistic protection while supporting the risk management requirements of enterprise customers. UDX's total liability for any damages arising from or related to cloud-wp shall not exceed the amount paid by your organization for the solution in the twelve months preceding any incident, providing predictable financial exposure that supports enterprise risk planning.

This framework specifically excludes indirect, incidental, special, or consequential damages, including lost profits, revenue, or business opportunities that may result from deployment or reconciliation challenges. Data loss or corruption not directly caused by our solution's malfunction, system downtime or service interruptions related to underlying Azure or GitHub infrastructure, and third-party claims or damages fall outside our liability scope.

Force majeure events including Azure platform outages, natural disasters, government actions, or other circumstances beyond our reasonable control are excluded from our performance obligations, ensuring that liability assignments remain realistic given the complex nature of cloud infrastructure dependencies.

12. Mutual Protection and Indemnification

Your organization agrees to provide indemnification and defense for UDX against claims arising from your use of our solution in violation of these terms, issues related to your data, site content, repositories, or configurations, violations of applicable laws or regulations, unauthorized access to your Azure environment, and third-party claims related to your business operations.

UDX provides corresponding protection by defending your organization against third-party claims alleging that cloud-wp infringes valid intellectual property rights, provided that you notify UDX promptly of such claims and cooperate reasonably in the defense process. This mutual protection framework ensures appropriate risk allocation between our organizations.

13. Flexible Business Transition and Termination

Either party may terminate this agreement with thirty days written notice, providing the predictability that enterprise planning requires, or immediately for material breach that remains uncured after ten days of written notice. Immediate termination rights also apply in cases of insolvency or bankruptcy filing by either party.

Upon termination, product access will be discontinued according to the agreed timeline, while Azure resources may be removed or transferred according to your configuration preferences. Importantly, your sites, repositories, and databases remain within your Azure subscription, ensuring business continuity even after solution termination. Your organization remains responsible for ongoing Azure resource costs, while provisions regarding intellectual property, disclaimers, and limitations continue beyond termination.

Data retrieval and site migration management are your organization's responsibility before termination. UDX has no obligation to maintain or provide access to solution features after the termination date, making advance planning essential for smooth business transitions.

14. Enterprise Compliance and Regulatory Excellence

Your organization maintains responsibility for ensuring that use of cloud-wp complies with industry-specific regulations including HIPAA, SOX, and PCI DSS requirements, international data protection laws including GDPR and CCPA, export control and trade sanction laws, and organizational security and compliance policies that govern your business operations.

Both organizations commit to prompt reporting of suspected security incidents, collaborative participation in incident investigation and remediation processes, adherence to responsible disclosure practices, and maintaining appropriate confidentiality of security-related information. This partnership approach ensures that security events are managed effectively while protecting both organizations' interests.

Audit and monitoring capabilities enable your organization to validate solution usage for compliance purposes. UDX provides reasonable cooperation for compliance audits upon request and with appropriate confidentiality protections, supporting your regulatory compliance requirements while protecting our intellectual property and operational security.

15. Continuous Innovation and Enhancement

UDX maintains an active development program to enhance cloud-wp through improved functionality and performance, proactive security vulnerability addressing, maintained Azure platform compatibility, and introduction of new features and capabilities that address evolving enterprise requirements.

Changes to these Terms of Use will be communicated with thirty days advance notice, providing enterprise customers with appropriate time for internal review and approval processes. Continued use of our solution after modification represents acceptance of updated terms, while significant changes will be communicated through multiple channels including email notifications, in-application notices, documentation updates, and Azure Marketplace notifications.

16. Professional Governance and Legal Framework

These Terms of Use, combined with our UDX Terms of Service and Microsoft Commercial Marketplace Terms, constitute the complete agreement between our organizations regarding cloud-wp. This comprehensive framework is governed by the laws of the state where UDX is incorporated, without regard to conflict of law principles.

If any provision of these Terms is deemed invalid or unenforceable by competent legal authority, the remaining provisions continue in full force and effect, ensuring business continuity for both organizations. Assignment of this agreement requires UDX's written consent from your organization, while UDX may assign the agreement in connection with mergers, acquisitions, or asset sales that support our business development objectives.

Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement rights, preserving both organizations' ability to maintain appropriate business and legal standards throughout our partnership.
